Terms of Service
These Terms are a binding agreement between you and Phyziro, LLC, a Texas limited liability company, governing Phyziro’s AI block infrastructure for agents and high-performance AI workloads—including inference, containerization, security tooling, tunable LLMs, payments-related capabilities (provided in partnership with Electryt, LLC, a Delaware limited liability company), AI agents, and related offerings described on our website—and set expectations for lawful use, dispute resolution, and our role as an infrastructure and cloud-style service provider.
By accessing or using Phyziro websites, APIs, SDKs, consoles, cloud or bare-metal deployments, payment flows, or other products or services (collectively, the “Services”), you agree to these Terms of Service (between you and Phyziro, LLC) and our Privacy Policy. You represent that either (a) you are at least eighteen (18) years old or the age of majority in your place of residence, whichever is higher, and have legal authority to enter this agreement on your own behalf, or (b) you are below the age of majority in your place of residence but your parent or legal guardian has (1) completed Phyziro’s know-your-customer (KYC) or equivalent identity-verification process for adults as we require from time to time, (2) attested that they are your lawful parent or legal guardian with authority to authorize your use of the Services, and (3) consented to your creating an account and your ongoing use of the Services, including acceptance of these Terms and the Privacy Policy on your behalf where applicable law permits. An informal checkbox without verified guardian identity does not satisfy this requirement. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
Phyziro. The Services are offered by Phyziro, LLC, a Texas limited liability company (“Phyziro”). References to “we,” “us,” or “our” in these Terms mean Phyziro unless the context requires otherwise.
Ownership. Phyziro, LLC is wholly owned by The Phyziro Revocable Living Trust (the “Trust”), organized under applicable law as a revocable living trust and described in Phyziro’s internal operating and governance records. The Trust is not a party to these Terms, does not operate the Services, and does not assume obligations hereunder; your agreement runs solely with Phyziro, LLC as the contracting entity.
Legal contact. Phyziro, LLC may be contacted by email at legal@phyziro.com.
Registered agent. Our registered agent can be reached at:
Northwest Registered Agent Service, Inc.
8 The Green STE B, Dover, KENT COUNTY, DE 19901 United States
Electryt. Electryt, LLC is a Delaware limited liability company. Payments-related capabilities described on our website or in product flows are provided in partnership with Electryt. Electryt is not a party to these Terms as operator of the core Phyziro infrastructure except to the extent Electryt’s own terms, checkout disclosures, or policies apply to payment features you elect to use.
Features co-branded or processed through Electryt remain subject to applicable payment-network rules, Electryt policies where presented, and these Terms where they govern your relationship with Phyziro.
Phyziro provides AI block infrastructure for agents and high-performance AI workloads: high-performance, low-latency infrastructure for AI agents suitable for RISC-V or cloud operations; AI inferencing; containerization; standardized security protocols; tunable LLMs; developer tooling; and related automation and integration surfaces described on phyziro.com (including payments-related capabilities provided in partnership with Electryt, LLC; AI agents; billing and commerce features; fraud-detection-related functionality where offered; and comparable offerings).
Features vary by plan and region. Specific SLAs, quotas, and certifications may be described in order forms, documentation, or separate agreements.
You must provide accurate registration information and safeguard credentials and API keys. You are responsible for activity conducted through your account and for actions taken by your employees, contractors, and integration partners who access the Services through your credentials. Notify us promptly at support@phyziro.com if you suspect unauthorized access.
Accounts for users below the age of majority. If you are not yet the age of majority where you live, a parent or legal guardian must complete KYC, attest to legal guardianship (or parental authority, as applicable), and consent to your use as described in Acceptance of Terms before your account may be opened or continue in good standing. Phyziro may suspend or close minor accounts that lack completed guardian verification.
You may use the Services only in compliance with applicable law and these Terms. Without limitation, you must not—and must not permit your downstream customers or end users to—use the Services to:
- Violate any criminal or civil law, including fraud, theft, corruption of minors, harassment, export-control or sanctions violations, or terrorism financing;
- Transmit malware, conduct denial-of-service attacks, mine cryptocurrency on shared infrastructure in breach of policy, or probe or bypass our security without authorization;
- Process or facilitate unlawful gambling, illegal drugs, human trafficking, or other illegal goods or services;
- Misrepresent identity, spoof payment networks, or abuse payment products (including chargeback fraud or laundering);
- Infringe intellectual property or privacy rights of others;
- Publish, sponsor, or encourage false or defamatory statements—including libel, slander, trade libel, or injurious falsehood—about Phyziro, its affiliates, brands, or personnel, or falsely attribute to Phyziro responsibility for disputes, losses, or misconduct involving only you, your downstream customers or end users, or unrelated third parties with whom Phyziro has no contractual or agency relationship; or
- Reverse engineer, resell, or commercially exploit the Services in breach of your agreement or our documentation.
Prohibited schemes; entrapment and false attribution. You must not use the Services—including prompts, workloads, integrations, documentation, communications with Phyziro, or interactions with third parties—to orchestrate, stage, manufacture, or amplify a false or misleading appearance that Phyziro, its affiliates, or their directors, officers, employees, contractors, or agents engage in crime, fraud, systemic misconduct, or civil wrongdoing, when that portrayal is not fairly attributable to Phyziro’s own independent acts. Without limiting the foregoing, prohibited conduct includes using the platform with the intent to entrap, set up, bait, falsely inculpate, or “catch” Phyziro or its personnel; generating or distributing narratives, artifacts, or evidence primarily so that regulators, partners, customers, journalists, or law enforcement might wrongly treat Phyziro as a wrongdoer or criminal enterprise; or coordinating others to do the same.
If Phyziro reasonably believes you have engaged in such conduct, Phyziro may, in addition to any other rights under these Terms or applicable law, suspend or terminate access immediately; preserve logs, communications, and transactional records; disclose matters to payment, cloud, and fraud partners as permitted by contract and law; seek injunctive and equitable relief; and pursue claims for breach of contract, fraud, abuse of process, tortious interference, defamation or business disparagement where the elements are met, unjust enrichment, and recovery of damages, restitution, costs, and attorneys’ fees to the fullest extent permitted in the competent forum. Phyziro may also refer conduct to law enforcement, regulatory agencies, and professional bodies where Phyziro believes reporting is warranted, and may cooperate fully with investigations and prosecutions brought by public authorities. Criminal charges and convictions are determined solely by governmental actors and courts; nothing in these Terms guarantees any particular criminal outcome.
Third-party grievances. Disputes between you (or your end users) and other persons—whether or not those persons used the Services—are solely among those parties. You must not orchestrate public campaigns, coordinated reviews, social-media attacks, or similar conduct directed at damaging Phyziro’s name or goodwill based on harms caused by unrelated actors or by persons Phyziro does not employ or control.
Our role. Phyziro is not obligated to mediate, referee, or resolve private disagreements between you and unrelated individuals or businesses; those matters remain yours to settle off-platform unless a court or lawful authority directs otherwise.
Processes when reputational or coordinated attacks are reported. If Phyziro reasonably believes that you—or accounts or integrations tied to you—have engaged in conduct prohibited above (including coordinated attempts to harm Phyziro’s goodwill), we may take steps including, in any order and without exhaustive obligation:
- Review. Examine internal logs, abuse tickets, payment-risk signals, publicly visible references to Phyziro that we become aware of, and materials you or third parties submit to legal@phyziro.com or abuse channels described in our documentation.
- Notice. Contact you through your registered account email (and, where appropriate, billing contacts on file) describing the concern and any corrective actions we request within a stated timeframe.
- Graduated enforcement. Issue warnings; throttle or restrict APIs or workloads; revoke or rotate credentials; remove or disable specific hosted content or integrations tied to the misconduct; temporarily suspend access; or permanently terminate accounts or offerings tied to repeat or severe violations.
- Records. Preserve relevant technical and account records as permitted by law for dispute resolution, regulatory inquiries, or litigation holds.
- Legal process and remedies. Cooperate with lawful subpoenas or regulator requests; refer matters to law enforcement when we deem it appropriate; and pursue equitable relief or damages where your conduct breaches these Terms or tortiously interferes with our business or reputation—without waiving other rights at law.
Nothing here requires Phyziro to respond to every informal complaint on third-party platforms, to determine truth in underlying disputes between strangers, or to act before completing a good-faith assessment consistent with operational capacity.
More generally, we may investigate suspected abuse, cooperate with law enforcement, suspend or terminate access, and remove or restrict content or workloads that violate law or these Terms.
Relationship. Phyziro operates as an independent technology and cloud-style infrastructure provider. We furnish APIs, compute, orchestration, payments-related rails and flows offered in partnership with Electryt, LLC (a Delaware limited liability company) where applicable, and related tooling so you can build and operate your own applications and serve your own downstream clients and end users. We may make base or catalog models available through the Services for inference and related workflows. Unless expressly agreed in writing, Phyziro does not control your applications, prompts, or data you or your customers generate. You are solely responsible for any training, fine-tuning, adaptation, or other alteration of those models, for any custom or derivative weights you create, and for the lawful use of model outputs in your products and downstream offerings.
Third-party conduct and reputation. To the fullest extent permitted by applicable law, Phyziro is not liable for injury to goodwill, brand value, or business reputation claimed by you or any third party based solely on conduct, outputs, or relationships of account holders, downstream customers, end users, or other unrelated persons—Phyziro does not stand surety for their behavior and is not answerable for disputes among them. Nothing in these Terms authorizes any party to hold Phyziro responsible for wrongdoing by third parties with whom Phyziro has no involvement beyond furnishing infrastructure in the ordinary course.
No ongoing oversight of downstream users. You acknowledge that Phyziro does not, by providing the Services, assume a duty to monitor your activities or your downstream customers’ activities on a continuous basis, pre-screen all workloads or outputs, or guarantee the legality of your use cases. You are responsible for your compliance program, customer onboarding, and lawful use of AI and payments in your sector.
Limits of visibility; undetected misuse. Phyziro cannot reasonably be expected to be omnipresent or aware of every use of the Services in real time. Even with logging, automation, abuse tooling, partner controls, and security practices in place, those measures are inherently limited and cannot reveal or prevent every instance of misuse by account holders, downstream customers, end users, or third parties. To the fullest extent permitted by applicable law, Phyziro is not liable for injury or loss arising solely from misuse that Phyziro did not actually know of and had no obligation under these Terms or applicable law to discover through omniscient or exhaustive monitoring—without limiting Phyziro’s rights and remedies for breach of these Terms, fraud involving your account or credentials, or matters once Phyziro has sufficient actual knowledge, credible abuse reports, or lawful process.
Statutory context (informational). Phyziro provides infrastructure and compliance-oriented services; we are not a publisher of your or your end users’ creative choices, and we do not undertake omniscient oversight of every workload. U.S. federal law addresses that posture in several places. For third-party information and speech, 47 U.S.C. § 230 is discussed below. For copyright-specific safe harbors under the Digital Millennium Copyright Act, 17 U.S.C. § 512(m) provides that eligibility for the liability limitations in § 512(a)–(d) must not be conditioned on a service provider monitoring its service or affirmatively seeking facts indicating infringing activity (subject to the statute, including standard technical measures under subsection (i)). Other jurisdictions recognize similar limits on “general monitoring” duties for intermediaries (for example, EU e-Commerce rules where applicable).
United States—47 U.S.C. § 230. For information or content provided by you or third parties (including your end users) and made available through or in connection with the Services, applicable U.S. federal law includes 47 U.S.C. § 230 (commonly called “Section 230”), which addresses when providers of interactive computer services are not to be treated as the publisher or speaker of third-party information, subject to statutory limits and exceptions. Phyziro relies on the framework Congress established for online intermediaries. Nothing in these Terms waives immunities or defenses available at law; conversely, nothing here narrows remedies available to Phyziro for breach of these Terms, fraud, or unlawful conduct actually involving your account or credentials.
United States—17 U.S.C. § 512(m) (copyright; conditioning eligibility). As an infrastructure and compliance-oriented service provider, Phyziro intends to operate consistently with the Digital Millennium Copyright Act, including 17 U.S.C. § 512(m), which provides that nothing in § 512 shall be construed to condition the applicability of § 512(a)–(d) on a service provider monitoring its service or affirmatively seeking facts indicating infringing activity—except to the extent consistent with a standard technical measure complying with subsection (i), or on conduct prohibited by law as described in subsection (m)(2).
Phyziro may supply compliance-oriented tools—such as dashboards, filters, logging, policy surfaces, and related controls—so that you can conduct your own internal reviews, moderation, and diligence over workloads and outputs. Responsibility for reviewing content, responding to rights claims within your organization, and meeting copyright and related obligations that apply to your business remains yours, including to the extent those duties arise alongside eligibility for limitations on liability under § 512; Phyziro’s tools do not replace your legal review or your compliance program.
As a service provider, Phyziro may in its discretion probe, sample, audit, or review specific accounts or traffic when reasonably appropriate for security, platform integrity, fraud prevention, abuse mitigation, or to process DMCA-style notifications and other lawful requests. You acknowledge that any such activity is not exhaustive monitoring of the Services, does not create an obligation for Phyziro to discover every infringement or misuse, and does not transfer to Phyziro your duty to operate your own copyright and compliance program. To the fullest extent permitted by 17 U.S.C. § 512(m) and applicable law, Phyziro expressly reserves the right not to pre-screen, continuously monitor, or affirmatively police all users, workloads, or outputs as a condition of your access to the Services or of Phyziro’s eligibility for limitations on liability under § 512(a)–(d). Phyziro may refrain from review or enforcement in any particular instance except where it elects to act in permitted circumstances; where standard technical measures, subsection (i), subsection (c), or other provisions of § 512 require or contemplate specific measures; or where Phyziro is required by court order, lawful process, credible infringement or abuse notices, or the circumstances in subsection (m)(2). Nothing in these Terms limits Phyziro’s remedies for breach of these Terms, fraud, or misuse involving your account or credentials.
Note on citations: parties sometimes confuse section numbers. The federal provision commonly discussed for platform and intermediary treatment of third-party content is 47 U.S.C. § 230, not Title 43 U.S.C. § 203 (which concerns different subject matter). Phyziro cites § 230 here for transparency in line with industry practice for U.S.-based infrastructure providers.
Lawful process and abuse reports. We may respond to lawful process, enforceable notices (including intellectual-property notices where applicable), and credible abuse reports, without admitting an obligation to actively police all content or traffic.
Infrastructure role. You acknowledge that Phyziro is an infrastructure and compliance-oriented service provider, not the operator of your product toward your own customers or end users.
First-line disputes. If a person who is not your Phyziro account holder—including a downstream customer, user-of-user, or other third party—believes that material or conduct made available through an application, integration, or deployment you control violated their rights, the appropriate counterparty to address that dispute in the first instance is you—the party who provisioned the offering, selected prompts and policies, and stood in the commercial and operational relationship with that user—not Phyziro solely by virtue of having supplied compute, APIs, or optional compliance tools.
No misleading attribution. You will not direct or encourage such parties to treat Phyziro as the publisher, author, primary infringer, or principal obligor for conduct or outputs attributable to you or your downstream chain, except where applicable law expressly requires otherwise. Nothing in these Terms waives defenses available to Phyziro and its affiliates under 47 U.S.C. § 230, 17 U.S.C. § 512, or other applicable law, or limits lawful notice-and-takedown, subpoenas, or court orders that Phyziro must honor.
Incorporated frameworks. These Terms incorporate by reference the defensive frameworks described in Independent Provider; Third Parties; No General Duty to Monitor, including 47 U.S.C. § 230 (limiting treatment of Phyziro as the speaker or publisher of third-party information in qualifying circumstances) and 17 U.S.C. § 512 (copyright safe harbors and notice-and-takedown).
Misrepresentations in notices. Without limiting other authorities, you acknowledge that 17 U.S.C. § 512(f) addresses liability—including damages and, in appropriate cases, attorneys’ fees—for knowing material misrepresentation in copyright notices; third parties who misuse that process may face consequences under the statute rather than obtaining leverage against Phyziro for conduct you or your users controlled.
Procedural tools (informational). You further acknowledge that U.S. federal procedural law includes mechanisms courts may use against improper litigation conduct in qualifying cases, including Federal Rule of Civil Procedure 11 (certifications and sanctions for presentations to the court) and 28 U.S.C. § 1927 (unreasonable vexatious multiplication of proceedings). State statutes—including anti-SLAPP laws in jurisdictions where they apply—may offer additional protections for petitioning activity and speech. These citations are informational; availability of any remedy depends on facts, forum, and judicial discretion.
Phyziro’s reservation of rights. Phyziro reserves the right, in any dispute or proceeding that names Phyziro or its affiliates, to assert all defenses and immunities available at law or equity; to contest personal jurisdiction, venue, joinder, or whether Phyziro is a proper or indispensable party; to seek dismissal or transfer where claims arise from conduct or outputs attributable to you or your downstream users rather than Phyziro’s own acts; to cross-claim or seek fees or sanctions where permitted; and to defend simultaneously against both (a) you or your account and (b) any third party who attempts to impose on Phyziro responsibility for the same underlying conduct you directed—without Phyziro being treated as the principal wrongdoer for your independent choices.
Phyziro retains all rights in its software, models we host as a service (subject to your licensed use), brands, documentation, and websites. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable license to use the Services as documented. You retain rights in your content and applications; you grant Phyziro the license reasonably necessary to operate, secure, and improve the Services (e.g., hosting, backup, abuse detection) as described in our Privacy Policy.
Feedback you provide may be used without restriction or compensation to you.
Privacy Policy. Our Privacy Policy describes how Phyziro collects, uses, discloses, and otherwise processes personal information in connection with the Services and websites. The Privacy Policy is incorporated into these Terms by reference and may be updated from time to time.
EU and UK processing. Where the EU General Data Protection Regulation (GDPR), the UK GDPR, or comparable UK data-protection laws apply, supplemental obligations may be governed by Phyziro’s Data Processing Addendum (“DPA”) executed or accepted by you (including click-through or order-form incorporation). The parties’ roles—such as when Phyziro acts as a processor on your behalf versus when each party is an independent controller—depend on the Services you use and how you configure them; the DPA and Privacy Policy clarify typical scenarios.
International transfers. Where personal data originating in the European Economic Area, Switzerland, or the UK is transferred to countries not recognized as adequate, Phyziro may rely on approved mechanisms such as the EU Commission Standard Contractual Clauses (SCCs), the UK International Data Transfer Agreement / Addendum (IDTA), or successor frameworks, together with technical and organizational measures described in our documentation or DPA.
Subprocessors. Phyziro uses subprocessors (including infrastructure, security, and analytics providers) to operate the Services. Current or representative subprocessors, change mechanisms, and objection rights (where offered) are identified in the DPA, a dedicated subprocessor disclosure on our website or documentation, or both.
Cookies and similar technologies. Our websites and consoles may use cookies, pixels, local storage, and similar technologies. Where required by applicable law (including in the EU and UK), we present consent or preference mechanisms (such as a cookie banner or settings panel) for non-essential technologies; details appear in the Privacy Policy and any cookie notice linked there.
Phyziro respects intellectual-property rights and may rely on limitations and safe harbors under U.S. law, including 17 U.S.C. § 512 (the Digital Millennium Copyright Act), for user-stored or user-routed material where those provisions apply, subject to statutory requirements and exceptions.
Designated agent. Copyright holders may send DMCA notices of claimed infringement to Phyziro’s designated agent at legal@phyziro.com with the information required by 17 U.S.C. § 512(c)(3). We maintain appropriate policies regarding repeat infringers in accordance with applicable law. Counter-notices and restoration procedures may apply as set forth in § 512(g) where relevant.
Registration of the designated agent with the U.S. Copyright Office is required for certain § 512 protections; Phyziro will maintain registrations and public contact information consistent with its practices.
Separate from copyright, other intellectual-property or abuse notices may be directed to the same address or support@phyziro.com as described in product documentation.
No reliance on outputs. AI and machine-learning features (including hosted models, tunable LLMs, inference APIs, and agents) may produce outputs that are incorrect, incomplete, biased, offensive, or inappropriate for your use case. Except where expressly warranted in a signed enterprise agreement for a particular offering, Phyziro does not warrant that outputs are accurate, lawful for your jurisdiction, or fit for any high-stakes decision (including medical, legal, financial, or safety-critical decisions).
Your responsibility. You are solely responsible for evaluating outputs, configuring safeguards (including retrieval, filtering, and moderation), and complying with laws applicable to automated decision-making, profiling, employment, credit, insurance, health, biometrics, minors, and sector-specific AI rules in markets where you operate.
Prohibited AI-related conduct. Without limiting the Acceptable Use section, you must not—and must not permit downstream users to—use the Services to generate or disseminate content for illegal surveillance or stalking; non-consensual intimate imagery; impersonation or fraud; unlawful discrimination or harassment at scale; coordinated disinformation where unlawful; automated activity that circumvents clear legal requirements; or other uses that applicable law or Phyziro’s documentation flags as disallowed. You will not represent AI-generated content as human-generated where that misrepresentation is unlawful.
Human oversight. Where the EU Artificial Intelligence Act, sector laws, or other regulations require human oversight, meaningful review, or impact assessments for certain high-risk or restricted systems, you remain responsible for organizational measures, human review workflows, and compliance documentation—Phyziro provides infrastructure and tools, not a substitute for your legal and operational compliance program.
Security measures. Phyziro implements administrative, technical, and physical safeguards designed to protect the Services, as further described in our security documentation, trust materials, and (where applicable) your DPA. No system is perfectly secure; you are responsible for account security, key management, and secure integration on your side.
Personal data breach notification. If Phyziro becomes aware of a breach of security leading to accidental or unlawful destruction, loss, alteration, or unauthorized disclosure of or access to personal data that we process on your behalf, Phyziro will notify you in accordance with the timeframes and methods set forth in the DPA (or, if no DPA exists, in our security or incident-response materials, and in any case within periods required by applicable law). Generic incident metrics or examples on a public security page do not modify these contractual commitments.
Insurance and SOC / assurance packets. Upon request and subject to confidentiality obligations (including execution of a non-disclosure agreement where we require it), Phyziro may make available summary information about cyber liability insurance, third-party audit reports (such as SOC reports), or comparable assurance materials for qualified customers evaluating vendor risk. Such materials are provided for informational due diligence only, may be redacted, are not incorporated into these Terms as warranties or SLAs, and do not expand Phyziro’s liability caps or disclaimers unless expressly stated in a signed agreement.
Current scope. As of the “Last updated” date above, Phyziro markets the Services primarily for commercial and general enterprise use. Phyziro does not represent that the Services, as generally offered under these Terms, meet U.S. federal FedRAMP, StateRAMP, Department of Defense Impact Levels, classified processing, or comparable government baseline requirements.
Notice before procurement. If you are—or become—a U.S. federal, state, local, tribal, or territorial government entity, a government contractor holding or processing controlled information on behalf of government, or you require FedRAMP-style, IL-based, or sovereign-cloud controls, you must contact legal@phyziro.com before deploying regulated workloads. Supplemental terms, attestations, customized SLAs, facility or personnel constraints, or separate product offerings may be required and will control over conflicting general Terms only if executed in writing.
Future offerings. Phyziro may introduce programs specifically intended for public-sector or highly regulated customers (including pathways toward government marketplace listings or certifications). Those programs will be governed by separate documentation and eligibility criteria; nothing in these Terms obligates Phyziro to offer or maintain any particular certification.
Electryt partnership. Payments-related capabilities are provided in partnership with Electryt, LLC, a Delaware limited liability company. Electryt may furnish payment processing, compliance, or operational components of those features; supplemental terms or notices from Electryt may apply where presented at checkout, in product flows, or in documentation.
Fees, taxes, billing cycles, payment methods, and refunds are set forth at checkout, in your order form, or in product-specific terms for payments and commerce features (including card processing, wallets, or billing integrations where available). You authorize Phyziro, Electryt, and our other payment partners to charge applicable amounts. Failed payments, chargebacks, or compliance holds may result in suspension of billable features. You are solely responsible for your sales to your customers and for compliance with payment network rules and regulations applicable to your business.
Disclaimer. Except where prohibited by law, the Services are provided as is and as available. Phyziro disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted.
Limitation. To the maximum extent permitted by law, Phyziro and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill. Our aggregate liability for claims arising out of the Services in any twelve-month period is limited to the greater of (a) the fees you paid to Phyziro for the Services giving rise to the claim during that period or (b) one hundred U.S. dollars (USD $100) if no fees were paid, except where such caps are void under applicable law.
Defamation and disparagement claims. To the maximum extent permitted by law, Phyziro is not liable for claims by third parties seeking damages for reputational harm, loss of goodwill, or similar theories where the alleged harm arises primarily from or relates to user-generated content, downstream applications, or disputes among users and others—not from Phyziro’s own independent tortious or wrongful conduct directed at the claimant.
Indemnification. These indemnity and cooperation duties should be read together with Statutory defenses; collateral or misjoined claims above. To the fullest extent permitted by applicable law, you shall indemnify, defend, and hold harmless Phyziro, its affiliates, and their respective directors, officers, employees, contractors, and agents (collectively, “Phyziro Parties”) from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: your use of the Services or your breach of these Terms or other incorporated policies; your content, prompts, models, applications, or integrations; or claims by your customers, end users, or other downstream parties alleging injury, infringement, or violation of rights in connection with products or services you operate or provision using the Services—including claims that seek to impose liability on a Phyziro Party solely because Phyziro furnished infrastructure, APIs, networking, or compliance-oriented tooling while you or your users controlled the workload, output, or downstream relationship. This obligation includes claims sounding in defamation, libel, slander, trade libel, business disparagement, or injurious falsehood brought by any person that seek to blame Phyziro, tarnish its name, or recover reputational damages based on conduct or omissions of you, your customers, or unrelated third parties, or based on false or misleading statements about Phyziro’s role—except to the extent caused by Phyziro’s uncured material breach of these Terms.
Phyziro may assume exclusive defense and settlement of any indemnified matter at its expense; you will cooperate reasonably and will not settle any claim implicating Phyziro without Phyziro’s prior written consent where Phyziro’s interests are affected.
A material failure to satisfy these indemnification or cooperation obligations may be grounds for legal action by Phyziro Parties to recover defense costs, settlements, judgments, and fees in accordance with these Terms and applicable statutes and rules of procedure in the competent forum. Even an inadvertent or unknowing failure to indemnify or cooperate can result in liability for the amounts and fees you assumed contractually. Where conduct frustrates Phyziro’s defense or indemnity rights—including knowing non-performance, deliberate interference, or malicious conduct aimed at prejudicing Phyziro or a Phyziro Party—additional remedies may be available under contract and, where the facts and forum permit, under tort or statutory theories such as bad faith, abuse of process, or unjust enrichment, without limiting Phyziro’s right to seek equitable relief. Nothing in this paragraph waives any requirement of proof or procedure imposed by applicable law.
We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay amounts due, or if we must comply with law or third-party platform requirements. You may stop using the Services at any time. Sections intended to survive (including disclaimers, limitations, indemnity, and dispute-related provisions) survive termination.
Governing law. These Terms and any dispute arising out of or relating to the Services or these Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles that would apply another jurisdiction’s laws, except that the Federal Arbitration Act governs the arbitration provisions below.
Venue. Subject to the arbitration clause below, you and Phyziro irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for any judicial proceeding not subject to arbitration or brought to enforce an arbitral award. You waive any objection to venue or inconvenient forum in those courts to the fullest extent permitted by law.
Informal resolution. Before initiating arbitration or suit, the party seeking relief must send a written description of the dispute and desired resolution to legal@phyziro.com (or, if you are an individual consumer without counsel, support@phyziro.com). The parties will attempt in good faith to resolve the dispute for thirty (30) days after receipt before commencing arbitration or court action, except for claims for injunctive or equitable relief regarding intellectual property, unauthorized access, or misuse of the Services, or claims that applicable law does not permit to be delayed.
Binding arbitration. Except where prohibited by applicable law or as stated below, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its applicable Commercial Arbitration Rules (or, for consumers where applicable, Consumer Arbitration Rules), as modified by this section. The arbitration shall be conducted in English with a single arbitrator. The seat of arbitration shall be Texas, unless the parties agree otherwise in writing. Judgment on the award may be entered in any court of competent jurisdiction.
Class action and jury trial waiver. To the fullest extent permitted by law, each party waives the right to a jury trial and agrees that disputes shall proceed only on an individual basis, not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. If this class waiver is held unenforceable as to any claim, that claim shall be severed and litigated in court as provided above; the remainder stays in arbitration.
Exceptions. Either party may seek provisional or equitable relief in Texas courts as necessary to protect intellectual property or confidentiality. Either party may bring qualifying claims in small claims court if the matter remains within that court’s jurisdictional limits. Nothing in this section limits mandatory rights or remedies that cannot be waived under the laws of your country or state of residence where you qualify as a consumer.
Texas Citizens Participation Act. Texas law, including Chapter 27 of the Texas Civil Practice and Remedies Code (TCPA), may in appropriate cases provide mechanisms for early dismissal of certain claims based on exercise of free speech, petition, or association rights; nothing here limits defenses Phyziro may assert under Texas law or other applicable law.
Electronic Communications Privacy Act. Where the Services qualify as electronic communications services under U.S. federal law, related limits on disclosure or liability may apply under the Stored Communications Act (18 U.S.C. §§ 2701–2712) subject to statutory exceptions and lawful process.
Changes. Phyziro may modify these Terms by posting a revised version on this page and updating the “Last updated” date. Where changes are material, we may also provide notice through the Services, by email to your registered address, or by other reasonable means. Your continued use of the Services after the effective date of revised Terms constitutes acceptance unless applicable law requires a different process or prohibits such acceptance mechanics.
Entire agreement; order of precedence. These Terms, together with our Privacy Policy and any additional terms presented for specific products at signup or checkout, constitute the entire agreement between you and Phyziro regarding the Services and supersede prior contemporaneous communications on that subject. If you have executed a separate written agreement with Phyziro (such as an enterprise order form or statement of work), conflicting provisions are controlled by that agreement only to the extent expressly stated there.
Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
Assignment. You may not assign or transfer these Terms or your rights hereunder without Phyziro’s prior written consent. Phyziro may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of substantially all assets or equity, without your consent but with reasonable notice where practicable.
Force majeure. Except for payment obligations that are not themselves prevented by the event, neither party is liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of war or terrorism, riots, embargoes, epidemics or pandemics, failures of public utilities or the public internet, cyberattacks not caused by the affected party’s negligence, labor disputes, or lawful acts of governmental authority.
Export and sanctions. You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive U.S. embargoes or sanctions programs identified by the U.S. government, and that you will not use or allow use of the Services in violation of applicable export control or sanctions laws (including rules administered by OFAC and the U.S. Department of Commerce).
Children’s use. If you are below the age of majority, you may register or continue to use an account only if your parent or legal guardian has completed KYC, attested legal guardianship (or equivalent parental authority), and consented as described in Acceptance of Terms. If you are under thirteen (13), you must not use the Services except through flows that meet verifiable parental consent standards where required (for example, COPPA in the United States), including guardian KYC and attestation when we mandate them for under-thirteen access.
